1. Agreement to Terms and Definitions

1.1 Acceptance

By accessing, browsing, or using the Moonrank platform located at www.moonrank.ai (the "Platform"), including any associated mobile applications, APIs, tools, dashboards, or services (collectively, the "Service"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

If you do not agree to all of these Terms, you must immediately cease using the Service and delete your account.

1.2 Key Definitions

"Moonrank," "we," "us," or "our" refers to Moonrank and its operators, owners, affiliates, and authorized agents.

"Platform" means the Moonrank website at www.moonrank.ai, including all subdomains, dashboards, tools, and features.

"Service" means all products, tools, content generation, optimization, auditing, analytics, listing management, and related functionalities provided through the Platform.

"User Content" means any data, text, images, business information, website URLs, credentials, access tokens, and any other materials you provide, upload, or input into the Platform during onboarding or use.

"Generated Content" means any articles, blog posts, optimization recommendations, audit reports, or other content created by the Service using artificial intelligence on your behalf.

"Subscription" means the paid recurring plan you select to access the Service.

"Billing Cycle" means the recurring period (monthly or annual) for which you are charged.

2. Description of the Service

2.1 Overview

Moonrank is an AI-powered search visibility platform designed to help local businesses get discovered, cited, and recommended by AI search engines such as ChatGPT, Google Gemini, Perplexity, and other generative AI platforms, in addition to traditional search engines like Google. The Service operates on an automated, managed basis to optimize your business's digital presence.

2.2 Core Features

The Service includes, but is not limited to, the following capabilities:

• AI Search Visibility Auditing: Diagnostic analysis of how AI systems currently perceive, cite, and represent your business.

• Content Creation and Optimization: AI-generated articles, blog posts, and web content structured for AI readability and recommendation.

• Entity Alignment: Structuring and verifying your business data so AI search engines can accurately identify, trust, and recommend you.

• Dedicated Support: 24/7 customer support through email and in-app communication channels.

2.3 No Guarantee of Results

While Moonrank uses best-in-class AI optimization techniques, we do not guarantee any specific ranking, traffic volume, citation frequency, or recommendation placement in any AI search engine or traditional search engine. Results depend on numerous factors beyond our control, including but not limited to algorithm changes by third-party platforms, competitive dynamics, and the quality of your underlying business and online presence.

3. Account Registration and Onboarding

3.1 Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to create an account and use the Service. By creating an account, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information through our onboarding process. Account creation may be facilitated through Google OAuth or email/password registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.3 Onboarding Process

During onboarding, you will be asked to provide business-specific information necessary for us to configure and deliver the Service. This may include, but is not limited to:

• Business name, address, phone number, and operating hours

• Website URL and domain information

• Google Business Profile access credentials or authorization

• Google Search Console access authorization

• Industry, service area, and target audience details

• Competitor information and target keywords

• Any other business data relevant to AI search optimization

You represent and warrant that all information provided during onboarding is accurate, complete, and that you have the legal right and authority to share such information with us.

3.4 Account Security

You agree to immediately notify Moonrank of any unauthorized use of your account or any other breach of security. Moonrank will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

4. User Data and Privacy

4.1 Data Collection and Use

We collect and process User Content and associated metadata solely for the purpose of providing, improving, and personalizing the Service. Our collection, use, and protection of your data is governed by our Privacy Policy, available at www.moonrank.ai/privacy-policy, which is incorporated into these Terms by reference.

4.2 Data Ownership

You retain full ownership of all User Content you provide to us. By submitting User Content to the Platform, you grant Moonrank a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and display your User Content solely as necessary to provide and improve the Service.

4.3 Third-Party API Data

When you authorize Moonrank to access your Google Business Profile, Google Search Console, or other third-party platforms, you acknowledge that we will retrieve, process, and display data from those platforms within your Moonrank dashboard. We access only the data scopes you explicitly authorize, and we do not share this data with unauthorized third parties.

4.4 Data Processing

Your User Content may be processed by third-party artificial intelligence services (including but not limited to Anthropic's Claude API) for the purpose of generating content and providing optimization recommendations. We ensure all such third-party processors maintain appropriate data protection standards. No personally identifiable end-user data is used to train third-party AI models.

4.5 Data Retention

We retain your User Content and Generated Content for the duration of your active Subscription and for a reasonable period thereafter to comply with legal obligations and resolve disputes. Upon account termination, you may request data export (see Section 19) before permanent deletion occurs.

5. Subscription Plans, Pricing, and Payment

5.1 Subscription Plans

Moonrank currently offers the following subscription plan:

Monthly at $249/month

Yearly at $2,490/year (2 months free)

Moonrank reserves the right to introduce additional plans, modify pricing, or adjust features at any time. Any pricing changes will be communicated to existing subscribers at least thirty (30) days before taking effect and will apply at the start of your next Billing Cycle.

5.2 Payment Processing

All payments are processed securely through Stripe, Inc. ("Stripe"). By subscribing, you agree to Stripe's Terms of Service. Moonrank does not store your credit card information directly; all payment data is handled by Stripe in compliance with PCI-DSS standards.

5.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your Billing Cycle begins on the date your Subscription is activated after the trial period ends. All fees are quoted and charged in US Dollars (USD) unless otherwise indicated.

5.4 Failed Payments

If a payment fails, we will attempt to charge your payment method up to three (3) additional times over a fourteen (14) day grace period. If payment cannot be collected after all attempts, your account may be suspended or downgraded until the outstanding balance is resolved. You remain responsible for any uncollected amounts.

5.5 Taxes

All prices are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies imposed by your local tax jurisdiction. Where required by law, Moonrank will collect and remit applicable sales tax or VAT.

6. Free Trial Period

6.1 Trial Terms

Moonrank offers a free trial period as indicated on the pricing page at the time of your registration (currently three (3) days). During the trial, you will have access to the full Service features to evaluate whether the Platform meets your needs.

6.2 Trial Conversion

At the end of the trial period, your Subscription will automatically convert to a paid plan at the rate you selected during registration, and your payment method will be charged. If you do not wish to continue, you must cancel your Subscription before the trial period expires. No charges will be applied if you cancel during the trial.

6.3 Trial Limitations

Moonrank reserves the right to limit or modify the trial offer at any time, including changing its duration, limiting the number of trials per user or business, or discontinuing the trial entirely. Only one (1) trial per business entity is permitted.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your Subscription at any time through your account settings dashboard or by contacting us at hello@moonrank.ai. Cancellation will take effect at the end of your current Billing Cycle. You will continue to have access to the Service until the end of the period you have already paid for.

7.2 Effect of Cancellation

Upon cancellation:

a) Your access to the Platform and all features will continue until the end of your current Billing Cycle.

b) No further charges will be applied to your payment method after the current Billing Cycle ends.

c) Generated Content that has been published to your website remains yours and will not be removed by Moonrank.

d) Your account data and analytics history will be retained for thirty (30) days after the end of your Billing Cycle, during which time you may request a data export.

e) After the thirty (30) day retention period, your account data may be permanently deleted.

7.3 Termination by Moonrank

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms

• You engage in fraudulent, illegal, or abusive activity

• Your use of the Service poses a security risk or may harm other users

• You fail to pay any fees when due after the grace period described in Section 5.4

• Required by law or a valid legal process

In the event of termination for cause, no refund will be issued for any remaining prepaid Subscription period.

7.4 Downgrade and Reactivation

If you cancel and later wish to reactivate your account, you may do so by re-subscribing through the Platform. Previous account data may or may not be available depending on whether the thirty (30) day retention period has elapsed.

8. Refund Policy

8.1 Trial Period

If you cancel during your free trial period, you will not be charged any fees. This is your opportunity to fully evaluate the Service at no cost.

8.2 Post-Trial Refunds

Due to the substantial costs associated with third-party AI API usage, content generation, listing distribution, and platform infrastructure that are incurred immediately upon Subscription activation, Moonrank operates a no-refund policy after the trial period has ended. By continuing to use the Service past the trial period, you acknowledge and agree to this policy.

8.3 Exceptions

In exceptional circumstances, such as documented billing errors, duplicate charges, or Service outages lasting more than seventy-two (72) consecutive hours, refund requests may be considered on a case-by-case basis at Moonrank's sole discretion. To request a refund, contact hello@moonrank.ai with your account details and a description of the issue within fourteen (14) days of the charge in question.

8.4 Annual Plan Cancellation

If you are on an annual plan and choose to cancel mid-term, you will retain access until the end of the annual period. No partial or pro-rata refunds will be issued for unused months on annual plans.

9. AI-Generated Content and Disclaimers

9.1 Nature of Generated Content

The Service uses artificial intelligence, including large language models, to generate content on your behalf. While we strive for accuracy and quality, AI-generated content may contain errors, inaccuracies, or require human review before publication. You are solely responsible for reviewing, editing, and approving all Generated Content before it is published on your website or any other platform.

9.2 No Professional Advice

Generated Content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, or regulatory advice. If your business operates in a regulated industry (such as healthcare, legal services, or financial services), you are solely responsible for ensuring all published content complies with applicable professional standards, regulations, and licensing requirements.

9.3 Content Accuracy

Moonrank does not warrant that Generated Content will be free from errors, omissions, or inaccuracies. You acknowledge that AI systems can produce content that, while plausible, may be factually incorrect. Moonrank recommends human review of all Generated Content prior to publication.

9.4 Content Ownership

Subject to the license granted in Section 4.2, all Generated Content created by the Service on your behalf is owned by you. You may use, modify, publish, and distribute Generated Content without restriction, subject to applicable law.

10. Intellectual Property Rights

10.1 Moonrank's Intellectual Property

The Platform, including its design, software, algorithms, code, user interface, trademarks, logos, branding, and all proprietary technology (collectively, "Moonrank IP"), is and shall remain the exclusive property of Moonrank and its licensors. These Terms do not grant you any right, title, or interest in Moonrank IP except for the limited right to use the Service as described herein.

10.2 User Content License

You grant Moonrank a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and display your User Content solely for the purpose of providing the Service. This license terminates when your account is deleted and all data retention periods have expired.

10.3 Feedback

If you provide suggestions, feature requests, bug reports, or other feedback ("Feedback") regarding the Service, you grant Moonrank an irrevocable, perpetual, royalty-free license to use, incorporate, and commercialize such Feedback without obligation or compensation to you.

10.4 Restrictions

You shall not: (a) reverse engineer, decompile, or disassemble any part of the Platform; (b) copy, modify, or create derivative works based on the Platform; (c) resell, sublicense, or distribute the Service to third parties; (d) use automated tools (bots, scrapers) to access the Platform other than through our official APIs; or (e) remove or alter any proprietary notices on the Platform.

11. User Obligations and Acceptable Use

11.1 Lawful Use

You agree to use the Service only for lawful business purposes in compliance with all applicable local, state, national, and international laws and regulations.

11.2 Prohibited Activities

You may not use the Service to:

• Generate, publish, or distribute content that is unlawful, defamatory, fraudulent, deceptive, threatening, harassing, or obscene

• Infringe upon the intellectual property rights of any third party

• Engage in black-hat SEO practices, link schemes, or any activity designed to manipulate search engine rankings in violation of search engine guidelines

• Promote or facilitate illegal activities, including gambling, adult content, controlled substances, or weapons

• Upload malicious software, viruses, or any code designed to harm the Platform or its users

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Attempt to gain unauthorized access to other users' accounts or any part of the Platform's infrastructure

• Use the Service in any manner that could overload, damage, or impair the Platform's functionality

11.3 Account Responsibility

You are fully responsible for all activity that occurs under your account, including actions taken by anyone with access to your login credentials. You must use commercially reasonable efforts to prevent unauthorized access to your account.

12. Third-Party Integrations and APIs

12.1 Third-Party Services

The Service integrates with third-party platforms including, but not limited to, Google (Business Profile, Search Console, Analytics), Stripe, and various directory and data aggregator services. Your use of these integrations is subject to the respective terms and privacy policies of those third-party services.

12.2 Authorization

By authorizing Moonrank to access your accounts on third-party platforms, you confirm that you have the legal authority to grant such access and that your use complies with the terms of service of those platforms.

12.3 Third-Party Availability

Moonrank is not responsible for the availability, performance, or policies of third-party services. If a third-party service modifies its API, restricts access, or ceases operations, certain features of the Service may be affected. In such cases, Moonrank will make reasonable efforts to find alternatives or notify you of any impact.

13. Service Availability and Modifications

13.1 Uptime

Moonrank strives to maintain high availability of the Platform but does not guarantee uninterrupted, error-free service. The Platform may be temporarily unavailable due to scheduled maintenance, system updates, or unforeseen technical issues.

13.2 Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time. For material changes that significantly reduce the functionality you are paying for, we will provide at least thirty (30) days advance notice and offer the option to cancel without penalty.

13.3 Service Level

Moonrank does not currently offer a formal Service Level Agreement (SLA). If an SLA is introduced in the future, it will be communicated separately and may require additional agreement.

14. Limitation of Liability

14.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MOONRANK DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

14.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOONRANK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MOONRANK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.3 Cap on Liability

MOONRANK'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO MOONRANK IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14.4 Basis of the Bargain

The limitations in this Section 14 reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between you and Moonrank. Moonrank would not provide the Service without these limitations.

15. Indemnification

You agree to indemnify, defend, and hold harmless Moonrank, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of a third party; (d) your User Content; or (e) Generated Content that you publish without adequate review.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact Moonrank at hello@moonrank.ai and attempt to resolve the dispute informally for a period of at least thirty (30) days.

16.2 Binding Arbitration

If the dispute cannot be resolved informally, you and Moonrank agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

16.3 Class Action Waiver

YOU AND MOONRANK AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. To the extent litigation is permitted under these Terms, the exclusive jurisdiction and venue for any dispute shall be the state and federal courts located in Wilmington, Delaware.

18. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of the Service. This includes, but is not limited to, business strategies, customer data, technical specifications, and pricing information. This obligation survives termination of these Terms for a period of two (2) years.

19. Data Portability and Export

You have the right to request an export of your data at any time during your active Subscription and for thirty (30) days following cancellation. Data export requests can be made through your account settings or by contacting hello@moonrank.ai. Moonrank will provide your data in a standard, machine-readable format (such as CSV or JSON) within a reasonable timeframe, not to exceed fourteen (14) business days.

20. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond the reasonable control of the affected party, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, civil unrest, power failures, internet outages, or failures of third-party service providers.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with Moonrank, constitute the entire agreement between you and Moonrank regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.

23. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Moonrank. Moonrank may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets. Any attempted assignment in violation of this Section shall be void.

24. Waiver

The failure of Moonrank to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time. Any waiver must be in writing and signed by an authorized representative of Moonrank to be effective.

25. Notices and Communication

Moonrank may send you notices via email to the address associated with your account, through in-app notifications, or by posting updates on the Platform. You agree that electronic communications satisfy any legal requirement that such communications be in writing. Notices from you to Moonrank should be sent to hello@moonrank.ai.

26. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide at least thirty (30) days advance notice via email or a prominent notice on the Platform before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your Subscription.
